Terms of Service

1. Acceptance of Terms
Welcome to Grow Campus (“we,” “us,” or “our”), the facilities operations and infrastructure entity for the Black Hills Consortium’s 15-acre technology campus in Custer, South Dakota. The campus property is owned by Pass Creek Holdings LLC and operated by Grow Campus. By accessing our website, using our facilities, enrolling in a membership, booking event space, or engaging with any of our services (collectively, the “Services”), you agree to be bound by these Terms of Service.
2. Description of Services
Grow Campus manages the physical operations of the BHC 15-acre campus, providing coworking memberships, event space rentals, incubator program facilities, studio-as-a-service, data center hosting, and housing rental management. Our campus serves all 13 Black Hills Consortium entities as well as external members, event hosts, and visitors.
3. Coworking Membership Terms
Coworking memberships provide access to shared workspace, meeting rooms, high-speed internet, and campus amenities. Membership terms include:
- Membership Tiers: Memberships are offered at various tiers ($300-$600/month) with different levels of access to facilities, meeting rooms, and amenities. Specific tier details are provided at the time of enrollment.
- Billing: Memberships are billed monthly in advance. We accept major credit cards and ACH transfers. Failed payments will result in a 7-day grace period before access suspension.
- Cancellation: Members may cancel with 30 days’ written notice. No refunds are issued for partial months. Any outstanding balances must be settled prior to cancellation.
- Guest Policy: Members may bring guests to common areas. Guests must sign in at reception and are the responsibility of the sponsoring member. Frequent guest usage may require an additional guest pass or membership upgrade.
- Access Hours: Standard coworking access is available during posted business hours. 24/7 access is available to qualifying membership tiers via key card.
4. Incubator Program Terms
Grow Campus hosts the Auric Labs accelerator program and other incubator initiatives. Participants in incubator programs agree to:
- Comply with program-specific terms outlined in their incubator agreement
- Use campus facilities in accordance with this Terms of Service and the Campus Code of Conduct
- Maintain professional behavior in shared spaces and during program events
- Respect the intellectual property of other incubator participants and campus tenants
- Attend required program milestones, demo days, and community events as specified by the program
Incubator equity provisions, mentorship terms, and program-specific obligations are governed by separate agreements between participants and the applicable program operator (e.g., Auric Labs).
5. Studio and Facility Rental
Grow Campus offers studio, meeting room, and specialty space rentals for short-term use. Rental terms include:
- Booking: Reservations can be made online or through our facilities team. A deposit may be required to confirm bookings.
- Cancellation: Cancellations made more than 72 hours before the reservation receive a full refund. Cancellations within 72 hours may forfeit the deposit. No-shows are charged in full.
- Equipment: Standard equipment is included with rental spaces. Specialized equipment requests must be arranged in advance and may incur additional fees.
- Liability: Renters are responsible for any damage to facilities or equipment beyond normal wear and tear. A damage deposit may be required for certain spaces.
- Hours: Rental periods are defined at the time of booking. Overtime usage will be billed at the posted hourly rate.
6. Event Space Booking
Our 15-acre campus offers indoor and outdoor event spaces for weddings, corporate retreats, investor tours, conferences, and community gatherings. Event bookings are subject to:
- A signed event agreement specifying dates, times, spaces, setup requirements, and total cost
- A non-refundable deposit of 25% at the time of booking, with the balance due 14 days before the event
- Compliance with all local noise ordinances, fire codes, and capacity limits
- Insurance requirements for large events (100+ attendees) as specified in the event agreement
- Responsible alcohol service in compliance with South Dakota liquor laws where applicable
- Cleanup responsibilities and any post-event damage charges
7. Shared Amenity Rules
All campus users — members, tenants, renters, and visitors — agree to the following shared amenity rules:
- Keep shared spaces clean and orderly. Remove personal items from common areas at the end of each day.
- Kitchen and break room facilities are shared. Label personal food items and clean up after use.
- Parking is available on a first-come, first-served basis unless a reserved spot is included in your membership or lease.
- Outdoor spaces including trails, patios, and gathering areas are shared amenities. Respect other users and the natural environment.
- Noise levels in shared workspaces should be kept to a professional level. Phone calls and video conferences should be taken in designated rooms.
- Pets are welcome in designated areas only. Owners are responsible for their animals at all times.
8. Campus Code of Conduct
Grow Campus is committed to maintaining a professional, inclusive, and welcoming environment for all users. The following conduct is prohibited on campus:
- Harassment, discrimination, or hostile behavior toward any person based on race, gender, religion, sexual orientation, disability, or any other protected characteristic
- Unauthorized access to restricted areas, other tenants’ private offices, or secured facilities
- Damage to or theft of campus property, equipment, or the personal property of others
- Illegal activity of any kind on campus premises
- Violation of fire safety protocols, including blocking exits and misusing fire equipment
- Smoking or vaping inside buildings (designated outdoor areas are provided)
Violations of the Code of Conduct may result in membership suspension, termination, or removal from campus property. Serious violations will be reported to local law enforcement.
9. Disclaimer of Warranties
Our Services are provided “as is” and “as available.” While we strive to maintain high-quality facilities, we do not warrant that campus services, internet connectivity, or amenities will be uninterrupted or error-free. We are not responsible for personal property left on campus premises.
10. Limitation of Liability
To the fullest extent permitted by law, Grow Campus, Pass Creek Holdings LLC, Black Hills Consortium, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services or facilities.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of South Dakota. Any disputes arising from these Terms shall be resolved in the courts of Custer County, South Dakota.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Active members and tenants will be notified of material changes via email.
